Provide legal advice and represent the Company on matters relating to mergers & acquisitions, anti-trust and financing matters. Will work closely advising business departments and executives.


Duties and Responsibilities:


  • Develop a deep and expert understanding of the AmeriGas’ services and business model.
  • Build strong relationships with company executives, business development team, and other internal clients.
  • Provide legal advice to the corporate mergers and acquisitions team and assist client with a variety of corporate matters, including entity formation, joint ventures, licensing and the sale of businesses, and will be responsible for conducting due diligence and drafting and negotiating transaction documents such as purchase and sale agreements, joint venture agreements, confidentiality and non-disclosure agreements, letters of intent, etc.
  • Review and negotiate financing agreements, including credit agreements, private placements, offering documents, note agreements, fee letters, term sheets and other ancillary documents and provide advice related to covenant compliance
  • Provide anti-trust legal advice and counseling on proposed business combinations, practical application of antitrust laws and guidance on due diligence, information sharing, strategic planning and similar topics.


Education and Experience Required:

  • JD from a top law school; member of a State Bar in good standing
  • 6-9 years of prior large law firm or in-house corporate legal experience
  • Exceptional analytical skills, integrity, and judgment regarding both legal and business issues
  • Excellent interpersonal and communication skills to support a wide range of internal clients
  • Specific experience with energy matters preferred


Working conditions:

            Hybrid working environment, some travel required.
