The Sr. Manager, Executive Compensation is responsible for the administration, planning, development, implementation and analysis of the Company’s executive compensation and Board of Directors compensation programs, including, but not limited to, annual benchmarking/market analyses, short- and long-term incentive compensation plans, non-qualified deferred compensation plans, change in control agreements, executive benefits, financial/accounting/tax treatment of executive compensation and benefits, and proxy/10-K analysis, reporting and disclosure (including portions of CD&A).  This position serves as the subject-matter expert on executive and Director compensation matters, and shall be an interface for executive and/or Director compensation matters, internally with the UGI and AmeriGas Accounting Departments, the UGI Treasury and Law Departments and the respective Payroll Departments and externally with established consultants and service providers. The Executive Compensation Analysts are a direct report to this position. 

 

Job Responsiblities: 

Employee Executive Compensation management:

- Manage and ensure the accurate and timely (monthly, quarterly, annually, ad hoc) completion of all  executive compensation actions; such as:  participate in the annual Willis Towers Watson (WTW) executive compensation survey; coordinate, review and analyze all compensation benchmarking and recommend adjustments, if warranted; prepare/develop/review, analyze, reconcile and approve standard and custom reports/analyses/balances, share counts, equity valuations, equity plan compliance, executive salary structures and target merit grids, etc.; calculate bonus and SERP accruals, review and approve SERP contributions; and, independently draft clear and concise communications on bonuses, LTI awards and payouts to all stakeholders. Together with legal counsel, prepare/update equity grant letters.

- Review, reconcile and approve annual expatriate tax equalization calculations.

Board of Directors Compensation:

- Manage Board of Directors compensation program including managing the director compensation study, LTIP plan administration, board fee administration, Pennsylvania tax withholding administration

- Oversee the Board of Director Deferral plan

- In conjunction with the Tax and Legal Departments, calculate UGI/ AmeriGas Board of Directors annual Form 1099s.

Executive Compensation Governance

- Compile and prepare all CD&A table information and narratives for UGI and AmeriGas filings. Laisse with legal to complete and review all legal filings for executive compensation actions.

Compensation Committee Responsibilities

- Manage and ensure the accurate and timely preparation of all executive compensation materials for respective compensation committee and/or Board of Directors approval; provide support and analysis relative to the materials.

Consultant Management

- Relationship contact for executive compensation consultant (Pay Governance), valuation consultation (WTW), expatriate taxation consultant (Deloitte) and 3rd party service providers (Fidelity, Aon, Morgan Stanley); and ensure integrity of information for accounting expense and disclosure calculations.

Executive Accounting

- Prepare and or review monthly entries to record monthly payroll reclass entries and bonus activity, including international employee expenses and executives with dual reporting relationships.

- Prepare annual budgets and monthly forecasts for bonuses and supplemental pension and savings plan amounts; support UGI headquarter payroll & headcount budgets in coordination with cost center managers and Finance

- Primary liaison for all compensation related audit and tax related activities.

Other

- Lead or support other duties and special projects, as assigned.

 

Job Requirements:

  • Bachelor’s Degree in Human Resources, Business Administration, Accounting, Mathematics or related/comparable field.  MBA or comparable advanced degree is a plus.
  • Minimum 5 years’ experience in Compensation, (including Executive Compensation) and Administration
  • Broad and deep knowledge of executive compensation programs; Certified Compensation Professional (CCP), Certified Equity Professional (CEP) or related certifications strongly preferred.
  • Strong mathematical, analytical, quantitative and organizational skills. 
  • Demonstrated knowledge of federal and state laws applicable to executive compensation, including SEC and NYSE rules, and Company policies and procedures. 
  •  Effective manager of people, developer of talent, and a strong departmental team player.
  •  Advanced computer skills, including Microsoft Excel, PowerPoint and other Microsoft Office programs. 
  •  Dependable, with attention to detail and a proven record of sensitivity to confidential information
  •  Solid judgment, excellent analytical and decision-making skills, and exceptional interpersonal skills
  •  Experience with budgeting, accounting processes and tax implications related to executive compensation
  •  Ability to interpret/analyze, organize and communicate complex data effectively to all stakeholders
