The Director-Compensation is accountable for the design, communication, implementation, administration and audit of all UGI broad-based, executive, and Board of Directors compensation plans, programs and policies, ensuring a consistent strategy and approach across the UGI Family of Companies.  Partners with external compensation consultants, finance, and accounting functions. Responsible for benchmarking/market analyses, short- and long-term incentive compensation plans, non-qualified deferred compensation plans, change in control agreements, executive benefits, financial/accounting/tax treatment of executive compensation and benefits, proxy/10-K analysis, reporting, and disclosure (including portions of CD&A). Works with leadership team to bring correct mix of variable and base pay programs to ensure competitive positioning within the marketplace. Keeps appropriate legal compliance with all federal and state regulations.   

 

 

Job Responsibilities:

 

  • Partner with the VP - Total Rewards & HR Services and CHRO to define the future compensation strategy and develop related initiatives, to support both the UGI Enterprise People Strategy and Total Rewards philosophy while ensuring both enterprise wide and business unit specific needs
  • Manage and ensure the accurate and timely (monthly, quarterly, annually, ad hoc) completion of all executive and Board of Director compensation actions; including benchmarking, share counts, equity valuations, and equity plan compliance; calculate bonus and SERP accruals, review and approve SERP contributions; and independently draft clear and concise communications on bonuses, LTI awards and payouts to all stakeholders. Together with legal counsel, prepare/update equity grant letters.
  • Manage and ensure the accurate and timely preparation of all executive compensation materials for respective compensation committee and governance committee for Director pay; provide support and analysis relative to the materials. Act as the relationship contact for external Committee executive compensation consultant, valuation consultation, expatriate taxation consultant, and 3rd party service providers; and ensure integrity of information for accounting expense and disclosure calculations.
  • Oversees and leads the design and implementation of compensation plans across the UGI Family of Companies, including base pay administration and associated processes, annual guidelines for compensation administration (merit budgets and increase grids), incentive bonus plans and sales commission plans
  • Mentors, coaches, and develops Compensation team. Builds collaborative relationships at multiple organizational levels, with Executives, Managers, HR partners and Employees

 

 

Job Requirements:

 

  • Bachelor’s Degree in Human Resources, Finance, Accounting or other related field
  • 10+ years of progressive HR or finance experience with at least 5+ years of direct Executive Compensation experience
  • CCP or CECP preferred
  • Broad and deep knowledge of executive and Board of Director compensation programs with a thorough understanding of short and long-term incentive plan design
  • Demonstrated ability to attract, manage, and develop a high performing team; ability to influence behavior both with and without direct authority
  • Demonstrated ability to develop and present thoughtful financial models and analysis with the ability to recommend solutions to unique business problems
  • Knowledge of all federal, state, and local regulations and compliance requirements related to US compensation standards and principals
  • The ability to develop strong relationships with key stakeholders in a fast-paced business environment
